Terms of Use

Agreement

These Terms of Use govern your access to and use of COIComply. By using the website, creating an account, uploading documents, or using any COIComply service, you agree to these Terms.

Business Use Only

COIComply is intended for business users. You represent that you are using the service for business purposes and have authority to act for the organization you identify.

Customer Responsibility

You are responsible for the accuracy, completeness, legality, and suitability of all information, insurance requirements, vendor information, and documents you provide. You are responsible for obtaining all permissions needed to upload or share third-party documents and information.

No Legal, Insurance, Broker, or Coverage Advice

COIComply reports identify apparent compliance gaps based on documents and requirements provided to us. COIComply does not provide legal advice, insurance advice, brokerage services, risk-management advice, coverage opinions, underwriting decisions, or guarantees of coverage. You must consult your broker, carrier, counsel, risk manager, owner, or other qualified advisor for final decisions.

No Guarantee

COIComply may use software, automation, document extraction, and human review to prepare reports. We do not guarantee that any report will identify every issue, error, omission, exclusion, endorsement problem, policy limitation, cancellation, misrepresentation, or coverage gap. You remain responsible for vendor approval, scheduling, compliance decisions, and reliance on any documents or reports.

Uploaded Documents

You must not upload documents you are not authorized to provide. You must not upload unlawful content, malware, confidential information that is not needed for the service, or unnecessary sensitive personal information. You grant COIComply permission to use uploaded documents and related information to provide, support, improve, secure, and administer the service.

Accounts

You are responsible for maintaining account security and for all activity under your account. Notify us promptly if you believe your account has been compromised.

Fees and Plans

Pricing, plan limits, included services, vendor counts, document counts, and monitoring cadence may change. Unless otherwise agreed in writing, fees are due as stated at purchase or invoice. Taxes, chargebacks, failed payments, and collection costs are your responsibility.

Third-Party Services

COIComply relies on third-party services for hosting, authentication, uploads, email, DNS, storage, and other operations. We are not responsible for third-party outages, security incidents, service changes, data loss, or failures outside our reasonable control.

Disclaimer of Warranties

To the maximum extent permitted by law, COIComply and all services, reports, websites, files, communications, and related materials are provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise, including warranties of accuracy, completeness, merchantability, fitness for a particular purpose, title, non-infringement, availability, or error-free operation.

Limitation of Liability

To the maximum extent permitted by law, COIComply and its owners, officers, employees, contractors, agents, affiliates, service providers, successors, and assigns will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or enhanced damages; lost profits; lost revenue; lost data; business interruption; vendor delays; denied claims; uncovered losses; legal exposure; or decisions made based on reports or documents.

To the maximum extent permitted by law, the total liability of COIComply and all affiliated persons and entities for any claim will not exceed the amount you paid to COIComply for the service giving rise to the claim during the three months before the event giving rise to the claim, or $100 if no amount was paid.

Indemnification and Hold Harmless

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless COIComply and its owners, officers, employees, contractors, agents, affiliates, service providers, successors, and assigns from and against all claims, losses, liabilities, damages, judgments, settlements, penalties, fines, costs, and expenses, including reasonable attorneys' fees, arising out of or related to your use of the service, uploaded documents, vendor information, instructions, requirements, decisions, reliance on reports, violation of these Terms, violation of law, violation of third-party rights, or any dispute between you and a vendor, owner, tenant, contractor, broker, carrier, regulator, or other third party.

Suspension and Termination

We may suspend or terminate access at any time if we believe use of the service creates risk, violates these Terms, violates law, threatens security, or is otherwise inappropriate. You may stop using the service at any time.

Changes

We may update these Terms from time to time. Continued use of COIComply after changes means you accept the updated Terms.
